TERMS AND CONDITIONS

CARNI TRADE IMPEX S.R.O.,
1. General Provisions
1.1. These Terms and Conditions (hereinafter referred to as the “Terms”) govern the business relationship between CARNI TRADE IMPEX S.R.O.,. (hereinafter referred to as the “Seller”) and its counterparties (hereinafter referred to as the “Buyer”).
1.2. By entering into a contract with CARNI TRADE IMPEX S.R.O., the Buyer confirms their acceptance of these Terms.
1.3. These Terms apply to all commercial transactions between the Seller and the Buyer unless otherwise agreed in writing.

2. Products and Quality
2.1. The Seller supplies frozen meat products (hereinafter referred to as the “Goods”) that meet international quality and safety standards.
2.2. All Goods are accompanied by the necessary certificates and veterinary documents confirming their origin and compliance with regulations.
2.3. The Seller guarantees that the Goods correspond to the specifications stated in the contract or invoice.

3. Orders and Payment Terms
3.1. All orders must be placed in writing (via email, fax, or other agreed communication channels).
3.2. The price of the Goods is based on the Seller’s commercial offer and must be confirmed by the Buyer before placing an order.
3.3. Payment is required on a 100% prepayment basis, unless otherwise agreed in writing.
3.4. Ownership of the Goods transfers to the Buyer only after full payment has been received.

4. Delivery and Shipping Terms
4.1. The delivery of Goods is carried out according to the agreed Incoterms (FCA, EXW, or others) specified in the contract or invoice.
4.2. If the Buyer arranges transportation, they assume full responsibility for the shipment once the Goods are handed over by the Seller.
4.3. The Seller is not liable for delays caused by force majeure circumstances, customs clearance procedures, or shipping company delays.
4.4. The Buyer must inspect the Goods upon receipt. In case of damage or discrepancies, the Buyer must notify the Seller within 24 hours of delivery.

5. Guarantees and Claims
5.1. The Seller guarantees the quality of the Goods in accordance with the contract terms.
5.2. If the Goods fail to meet quality standards, the Buyer must provide documented proof (photos, inspection reports, etc.).
5.3. Complaints and claims will be reviewed within 10 business days of receiving a written complaint.
5.4. Returns are only accepted if the packaging remains intact, the cold chain is maintained, and supporting evidence is provided.

6. Force Majeure
6.1. The Seller is not liable for failure to perform or delays due to force majeure events such as natural disasters, strikes, war, pandemics, legal changes, or customs delays.
6.2. If a force majeure event occurs, both parties must notify each other immediately.

7. Confidentiality and Data Protection
7.1. All commercial and technical information exchanged between the parties is confidential and may not be disclosed to third parties without written consent.
7.2. The Buyer agrees not to disclose any commercial details about the Seller, including pricing, suppliers, and business operations.

8. Dispute Resolution and Governing Law
8.1. Any disputes arising from these Terms shall be resolved through negotiations.
8.2. If an agreement cannot be reached, disputes will be settled in the courts of the Czech Republic under Czech law.
8.3. The official language of the contract is English. In case of discrepancies between translations, the English version shall prevail.

9. Final Provisions
9.1. CARNITRADE S.R.O. reserves the right to modify these Terms unilaterally.
9.2. The Buyer must comply with all applicable laws and regulations governing meat trade.
9.3. Any amendments or additions to the Terms must be made in writing and signed by both parties.

ОБЩИЕ УСЛОВИЯ СОТРУДНИЧЕСТВА
(TERMS AND CONDITIONS)

CARNI TRADE IMPEX S.R.O.
1. Общие положения
1.1. Настоящие Общие условия сотрудничества (далее — «Условия») регулируют деловые отношения между CARNI TRADE IMPEX S.R.O. (далее — «Продавец») и его контрагентами (далее — «Покупатель»).
1.2. Заключая договор с CARNI TRADE IMPEX S.R.O., Покупатель подтверждает согласие с настоящими Условиями.
1.3. Настоящие Условия применяются ко всем коммерческим сделкам, заключаемым между Продавцом и Покупателем, если иное не оговорено в письменном виде.

2. Товары и качество
2.1. Продавец поставляет замороженные мясные продукты (далее — «Товары»), соответствующие международным стандартам качества и безопасности.
2.2. Все Товары сопровождаются необходимыми сертификатами и ветеринарными документами, подтверждающими их происхождение и соответствие требованиям.
2.3. Продавец гарантирует, что Товары соответствуют описанию, указанному в договоре или счете-фактуре.

3. Заказ и условия оплаты
3.1. Все заказы оформляются в письменной форме (по электронной почте, факсу или через иные согласованные каналы связи).
3.2. Цена Товара устанавливается на основании коммерческого предложения Продавца и подтверждается Покупателем перед размещением заказа.
3.3. Оплата производится на условиях 100% предоплаты, если иное не согласовано в письменном виде.
3.4. Право собственности на Товар переходит к Покупателю только после полной оплаты.

4. Условия поставки и доставки
4.1. Доставка Товара осуществляется в соответствии с согласованными инкотермс (FCA, EXW или иными), указанными в договоре или инвойсе.
4.2. Если доставка организуется Покупателем, он несет ответственность за транспортировку Товара с момента передачи его Продавцом.
4.3. Продавец не несет ответственности за задержки, вызванные форс-мажорными обстоятельствами, таможенными процедурами или задержками транспортных компаний.
4.4. Покупатель обязан проверить Товар при получении. В случае выявления повреждений или несоответствия, Покупатель обязан уведомить Продавца в течение 24 часов с момента получения.

5. Гарантии и претензии
5.1. Продавец гарантирует качество Товара в соответствии с условиями контракта.
5.2. В случае обнаружения несоответствия качеству, Покупатель обязан предоставить документально подтвержденные доказательства (фото, заключения инспекционных органов и т. д.).
5.3. Рассмотрение претензий и принятие решений о возврате или компенсации осуществляется в течение 10 рабочих дней с момента подачи письменной жалобы.
5.4. Возврат Товара возможен только при условии сохранности упаковки, соблюдения температурного режима и предоставления соответствующих доказательств.

6. Форс-мажор
6.1. Продавец не несет ответственности за невыполнение или задержку исполнения обязательств, вызванные форс-мажорными обстоятельствами, такими как стихийные бедствия, забастовки, война, пандемии, изменения законодательства или задержки на таможне.
6.2. В случае наступления форс-мажорных обстоятельств стороны обязаны незамедлительно уведомить друг друга.

7. Конфиденциальность и защита данных
7.1. Все коммерческие и технические данные, обмен которыми происходит между сторонами, являются конфиденциальными и не подлежат передаче третьим лицам без письменного согласия другой стороны.
7.2. Покупатель обязуется не разглашать коммерческую информацию о Продавце, включая ценовые условия, поставщиков и схемы работы.

8. Разрешение споров и применимое право
8.1. Все споры и разногласия, возникающие в ходе исполнения настоящего договора, решаются путем переговоров.
8.2. Если стороны не могут достичь соглашения, спор подлежит рассмотрению в суде Чешской Республики в соответствии с законодательством Чехии.
8.3. Рабочий язык договора — английский. В случае расхождений между переводами текста приоритет имеет английская версия.

9. Заключительные положения
9.1. Настоящие Условия могут быть изменены CARNI TRADE IMPEX S.R.O., в одностороннем порядке.
9.2. Покупатель обязуется следовать всем применимым законам и нормам, регулирующим торговлю мясной продукцией.
9.3. Любые изменения или дополнения к условиям договора должны быть оформлены в письменном виде и подписаны обеими сторонами.

CARNI TRADE IMPEX S.R.O.
1. Disposiciones Generales
1.1. Las presentes Condiciones Generales de Venta (en adelante, las “Condiciones”) rigen las relaciones comerciales entre CARNI TRADE IMPEX S.R.O., (en adelante, el “Vendedor”) y sus contrapartes (en adelante, el “Comprador”).
1.2. Al celebrar un contrato con CARNI TRADE IMPEX S.R.O., el Comprador acepta sin reservas estas Condiciones.
1.3. Estas Condiciones se aplican a todas las transacciones comerciales entre el Vendedor y el Comprador, salvo que se acuerde lo contrario por escrito.

2. Productos y Calidad
2.1. El Vendedor suministra productos cárnicos congelados (en adelante, los “Productos”) que cumplen con las normas internacionales de calidad y seguridad.
2.2. Todos los Productos van acompañados de los certificados y documentos veterinarios necesarios que garantizan su conformidad con la normativa vigente.
2.3. El Vendedor garantiza que los Productos se ajustan a las especificaciones indicadas en el contrato o la factura.

3. Pedidos y Condiciones de Pago
3.1. Todos los pedidos deberán realizarse por escrito (por correo electrónico, fax u otro medio previamente acordado).
3.2. El precio de los Productos se establecerá sobre la base de la oferta comercial del Vendedor y deberá ser confirmado por el Comprador antes de formalizar el pedido.
3.3. El pago se realizará con prepago del 100%, salvo que se haya acordado expresamente otra condición por escrito.
3.4. La propiedad de los Productos se transfiere al Comprador únicamente tras la recepción del pago completo.

4. Entrega y Envío
4.1. La entrega de los Productos se efectuará conforme a los Incoterms acordados (FCA, EXW u otros), especificados en el contrato o factura.
4.2. Si el transporte es organizado por el Comprador, este asume toda la responsabilidad sobre la mercancía desde el momento en que los Productos son entregados por el Vendedor.
4.3. El Vendedor no se hace responsable de los retrasos ocasionados por fuerza mayor, trámites aduaneros o retrasos por parte de las empresas de transporte.
4.4. El Comprador deberá inspeccionar los Productos a su recepción. En caso de daño o no conformidad, deberá notificar al Vendedor en un plazo de 24 horas.

5. Garantías y Reclamaciones
5.1. El Vendedor garantiza la calidad de los Productos conforme a los términos del contrato.
5.2. En caso de no conformidad, el Comprador deberá presentar pruebas documentadas (fotografías, informes de inspección, etc.).
5.3. Las reclamaciones serán evaluadas en un plazo de 10 días hábiles desde la recepción de la queja por escrito.
5.4. Solo se aceptarán devoluciones si el embalaje está intacto, se ha respetado la cadena de frío y se presentan los justificantes necesarios.

6. Fuerza Mayor
6.1. El Vendedor no se responsabiliza por retrasos derivados de casos de fuerza mayor tales como desastres naturales, conflictos bélicos, pandemias, huelgas, cambios legislativos o demoras en aduanas.
6.2. En caso de producirse una situación de fuerza mayor, ambas partes deberán notificarse de inmediato.

1.1. Les présentes Conditions Générales de Vente (ci-après dénommées les « Conditions ») régissent les relations commerciales entre CARNI TRADE IMPEX S.R.O., (ci-après dénommé le « Vendeur ») et ses contreparties (ci-après dénommées l’« Acheteur »).
1.2. En concluant un contrat avec CARNI TRADE IMPEX S.R.O.,., l’Acheteur confirme son acceptation des présentes Conditions.
1.3. Les présentes Conditions s’appliquent à toutes les transactions commerciales entre le Vendeur et l’Acheteur, sauf accord écrit contraire.

2. Produits et Qualité
2.1. Le Vendeur fournit des produits de viande congelée (ci-après dénommés les « Produits ») conformes aux normes internationales de qualité et de sécurité.
2.2. Tous les Produits sont accompagnés des certificats et documents vétérinaires requis, garantissant leur conformité réglementaire.
2.3. Le Vendeur garantit que les Produits correspondent aux spécifications indiquées dans le contrat ou la facture.

3. Commandes et Conditions de Paiement
3.1. Toutes les commandes doivent être passées par écrit (par e-mail, fax ou autre moyen convenu).
3.2. Le prix des Produits est basé sur l’offre commerciale du Vendeur et doit être confirmé par l’Acheteur avant la commande.
3.3. Le paiement s’effectue sur la base d’un pré-paiement de 100%, sauf accord écrit contraire.
3.4. La propriété des Produits est transférée à l’Acheteur uniquement après réception du paiement intégral.

4. Livraison et Expédition
4.1. La livraison des Produits s’effectue selon les Incoterms convenus (FCA, EXW ou autres) spécifiés dans le contrat ou la facture.
4.2. Si l’Acheteur organise le transport, il assume l’entière responsabilité de l’expédition dès la remise des Produits par le Vendeur.
4.3. Le Vendeur n’est pas responsable des retards causés par des cas de force majeure, les procédures douanières ou les retards des transporteurs.
4.4. L’Acheteur doit inspecter les Produits à la réception. En cas de dommage ou de non-conformité, il doit notifier le Vendeur sous 24 heures.

5. Garanties et Réclamations
5.1. Le Vendeur garantit la qualité des Produits conformément au contrat.
5.2. En cas de non-conformité, l’Acheteur doit fournir une preuve documentée (photos, rapports d’inspection, etc.).
5.3. Les réclamations seront examinées sous 10 jours ouvrables après réception d’une plainte écrite.
5.4. Les retours ne sont acceptés que si l’emballage est intact, la chaîne du froid est respectée et les justificatifs sont fournis.

6. Force Majeure
6.1. Le Vendeur n’est pas responsable des retards dus à des événements de force majeure.
6.2. Les parties doivent se notifier mutuellement en cas de force majeure.
